Norsk Titanium AS: Notice of Extraordinary General Meeting

22 August 2025: Reference is made to the stock exchange announcement made by Norsk Titanium AS (the "Company") on 22 August regarding a successfully placed private placement of new shares in the Company (the "Private Placement").

Completion of tranche 2 of the Private Placement is subject to, among other things, approval by an extraordinary general meeting of the Company. The Company's board of directors (the "Board") has also proposed that the extraordinary general meeting grants the board of directors an authorization to increase the share capital in connection with the potential subsequent offering and a new board authorization to increase the share capital for general purposes.

The Board therefore calls for an extraordinary general meeting to be held digitally on 5 September 2025 at 15:00 hours CEST.
