Norsk Titanium AS: Resolution to carry out Tranche 2 of the Private Placement

Oslo, Norway, 9 September 2025: Reference is made to the stock exchange announcement by Norsk Titanium AS (the "Company") on 22 August 2025 regarding the completion of a private placement of a total of 183,270,600 new shares (the "Offer Shares") raising gross proceeds of approximately NOK 183 million (the "Private Placement"), as well as the stock exchange announcement on 5 September 2025 regarding the completion of the extraordinary general meeting and grant of, among other things, an authorisation for the board of directors (the "Board Authorisation") to resolve the issuance of 105,553,600 Shares in tranche 2 of the Private Placement ("Tranche 2"). The Company's board of directors has today resolved to increase the share capital in relation to Tranche 2 pursuant to the Board Authorisation.

Following the share capital increase pertaining to Tranche 2, the Company will have a share capital of NOK 78,937,850.08 divided into 986,723,126 shares, each share having a par value of NOK 0.08 and representing one vote in the Company's general meeting.
