Norsk Titanium AS: Election of board members at the annual general meeting

Oslo, Norway, 9 May 2023: Reference is made to the stock exchange notification by Norsk Titanium AS ("Norsk Titanium" or the "Company") on 8 May 2023 regarding the resignation from the board of directors by Mr. Steve D. Geskos.

The nomination committee has been informed of Mr. Geskos resignation and has recommended that the annual general meeting elects Shan Ashary to the board of directors as a replacement of Mr. Geskos. Shareholders are given the opportunity to cast advance votes in respect of the proposal by the nomination committee.

Mr. Ashary was first elected to the board of Norsk Titanium in 2010. He stepped down as a board member in 2022 and was then elected to the nomination committee. Mr. Ashary has over 35 years of experience in managing international investments and running operations of large, diversified multinational companies. He currently sits on the board of directors of several funds and private and public companies in various countries.

After Mr. Ashary's resignation from the nomination committee, provided that he is elected as a board member at the annual general meeting, the nomination committee will work with the shareholders to identify new candidates for the nomination committee. The Nomination Committee is expected to assess the composition of the board in accordance with the articles of association of Norsk Titanium.

Shareholders attending the general meeting either in person or by proxy without voting instructions will not need to take any actions to vote on the amended proposal. Shareholders that have already voted in advance may electronically adjust their voting for the above following the instructions as set out in the notice for the annual general meeting. Shareholders having provided proxies with voting instructions may contact the Company to amend the proxy voting.

Previously provided advance votes and proxies with instruction to vote in relation to Mr. Steve Geskos candidacy may be disregarded at the general meeting.
